TERMS AND CONDITIONS

1. CONTRACTUAL RELATIONSHIP

These Terms of Use (“Terms”) govern your access to or use, as an individual and/or company, from any country in the world of applications, websites, content, products and services (“Services”) made available by SOCIALNEED, SOCIALNEED INC, SOCIALNEED ®, needyou, a limited liability company incorporated in the United States (“Socialneed”) and Socialneed (registered trademark).

PLEASE READ THESE TERMS CAREFULLY BEFORE ACCESSING OR USING THE SERVICES.

By accessing and using the Services you agree to be legally bound by these Terms, which establish a contractual relationship between you and Socialneed. If you do not agree to these Terms, you may not access or use the Services. By accessing, subscribing to and/or using Socialneed services (iOS mobile apps, Android mobile apps, WEB platform), you agree to our terms and policies immediately. IF YOU DO NOT AGREE TO THIS POLICY, DO NOT ACCESS OR USE THE PLATFORM.

These Terms expressly supersede any prior agreements or understandings with you. Socialneed may immediately terminate these Terms or any of the Services with respect to you or generally stop offering or deny access to the Services or any part thereof, at any time and for any reason.

Supplemental terms may apply to certain Services, such as policies for a particular event, activity or promotion, and such supplemental terms will be communicated to you in connection with the applicable Services. Supplemental terms are set forth in addition to, and will be deemed a part of, the Terms for the purposes of the applicable Services. Supplemental terms will prevail over the Terms in the event of a conflict with respect to the applicable Services.

Socialneed may modify the Terms relating to the Services from time to time. Modifications will be effective upon Socialneed's posting of such updated Terms at this location or modified policies or supplemental terms on the applicable Service. Your continued access or use of the Services after such posting constitutes your consent to be bound by the Terms and their modifications.

Socialneed is not responsible for the services provided by third parties within the platform (people/users providing professional services or social solutions), nor is it responsible for the services and behavior of the platform's users. Socialneed and its platform provide the service of connecting people qualified by other users. Socialneed makes a great effort and process of validation and personal verification of professionals, technicians, amateurs, artists, sports coaches and specialists from different professional fields whose purpose in being present and/or active on the platform is to provide or require services within the legal framework in different areas based on urban social needs and/or in human communities. The validation and verification protocol for users prior to approval of use and access does not make Socialneed, its partners or legal representatives responsible for accidents or non-compliance with services and/or laws by users. Each user is responsible for accepting or denying services or third party requirements.

Modifications.

Socialneed reserves the right, at its sole discretion, to modify these Terms, and any other documents incorporated herein by reference, at any time and without prior notice. Socialneed will notify you of changes by posting on the website, emails and/or by notification in the platform's mobile applications when you enter and/or have logged into your account. Modifications will take effect one day after they are posted on this website. Users will be notified of the modifications at the time they are made. Use of the Platform after expiration will constitute your approval and consent to the changes. If you do not agree, you may not access the services or use the Platform.

2. THE SERVICES

The Services constitute a technology platform that enables users through Socialneed mobile applications or web pages provided as part of the Services (each, an “Application”) to find, connect, schedule and organize services from persons (“Third Party Providers”) who are qualified by other users; and that such services and the contracting thereof are between private individuals who require one or more services with private individuals who provide one or more services. Unless otherwise agreed to by Socialneed in a separate written agreement with you, the Services are made available for your personal, non-commercial use only. YOU ACKNOWLEDGE THAT SOCIALNEED DOES NOT PROVIDE SERVICES OF ANY KIND OR FUNCTION AS A PROVIDER OF PROFESSIONAL, TECHNICAL OR SPECIALTY SERVICES AND THAT ANY SERVICES OBTAINED, REQUIRED OR PROVIDED ARE PERFORMED BY INDEPENDENT THIRD PARTY PROVIDERS WHO ARE NOT EMPLOYED BY SOCIALNEED.

License.

Subject to your compliance with these Terms, Socialneed grants you a limited, non-exclusive, non-sublicensable, revocable, non-transferable license to: (i) access and use the Applications on your personal device solely in connection with your use of the Services; and (ii) access and use any content, information and related materials that may be made available through the Services, in each case solely for your personal, non-commercial use. Socialneed and its licensors reserve any rights not expressly granted herein.

Restrictions.

You may not: (i) remove any copyright, trademark or other proprietary notices from any portion of the Services; (ii) reproduce, modify, prepare derivative works based on, distribute, license, lease, resell, transfer, publicly display, publicly perform, transmit, retransmit or otherwise exploit the Services except as expressly permitted by SOCIALNEED LLC, SOCIALNEED INC, SOCIALNEED; (iii) decompile, reverse engineer or disassemble the Services except as permitted by applicable law; (iv) link to, mirror or frame any portion of the Services; (v) cause or launch any program or script for the purpose of scraping, indexing, analyzing or otherwise data mining any portion of the Services or unduly burdening or impairing the operation and/or functionality of any aspect of the Services; or (vi) attempt to gain unauthorized access to or damage any aspect of the Services or their related systems or networks.

Our collection and use of personal information in connection with the Services is as set out in Socialneed's Privacy Policy, available at https://www.socialneed.co/privacy-policy. Socialneed may provide the competent authorities, insurers and the parties involved if necessary with any necessary information (including your contact information) if there are complaints, disputes, accidents or conflicts, which could include any type of inconvenience in which we believe it is necessary to intervene.

By being verified and activated in our services as a user on Socialneed, you agree and authorize us in the event of any legal scenario, if required by local authorities or by an insurer, any necessary information (including your contact information) if there are complaints, disputes or conflicts, which could include an accident, involving you and a third party (including the private provider of private transportation services or professional services between users) and such information or data is necessary to resolve the complaint, dispute or conflict, we may use it.

This Policy applies to all Socialneed sites, mobile applications, and other online services (collectively, "Platform") made available by Socialneed.

These Terms apply to all use of any Needyou App / needyou / Socialneed / Socialneed / Socialneed™ Platform services ("Socialneed", "we", "our" or "us"). Our Terms of Use links to the Privacy Policy. By accessing or using the Platform, you agree to our terms and policy. IF YOU DO NOT AGREE TO THIS POLICY, PLEASE DO NOT ACCESS OR USE THE PLATFORM.

IMPORTANT NOTICE: THIS AGREEMENT CONTAINS A BINDING ARBITRATION PROVISION AND A CLASS ACTION WAIVER. IT AFFECTS YOUR LEGAL RIGHTS AS DETAILED IN THE ARBITRATION AND CLASS ACTION WAIVER SECTION BELOW. PLEASE READ CAREFULLY.

PLEASE READ THE TERMS CAREFULLY. BY USING THE PLATFORM, YOU AGREE TO BE BOUND BY THESE TERMS. AS DETAILED IN THE ELIGIBILITY, SERVICE MEMBER REPRESENTATIONS, WARRANTIES AND USE OF THE PLATFORM SECTION BELOW, IF YOU ARE A USER, MEMBER AND/OR SUBSCRIBER OF THE SERVICE, YOU UNDERSTAND AND AGREE THAT SOCIALNEED USES YOUR INFORMATION TO OBTAIN BACKGROUND CHECKS ON ITS PROVIDERS AS EXPLAINED IN OUR PRIVACY POLICIES. IF YOU DO NOT AGREE TO THESE TERMS, THEN YOU MAY NOT ACCESS OR USE THE PLATFORM, IF YOU ACCESS IT YOU ARE ACCEPTING OUR TERMS OF USE.

All references to "you" or "your", as applicable, mean the person accessing, using and/or participating in the Platform in any manner. If you use the Platform on behalf of an entity, you represent and warrant that you have the authority to bind that entity, your acceptance of the Terms will be deemed to be an acceptance by that entity, and "you" and "your" herein shall refer to that entity.

ACCEPTANCE OF THESE TERMS

This Terms of Use Agreement ("Terms") governs your access to, use of, and participation in the Platform and Services made available to you by SOCIALNEED ("Socialneed", "Platform", "Application", "we", "us" or "our") or through Socialneed and all of our services. If you use the Platform on behalf of an entity, you represent and warrant that you have the authority to bind that entity, your acceptance of the Terms will be deemed acceptance by that entity, and "you" and "your" herein shall refer to that entity, and you shall also be responsible to that entity as to your identity or person.

MODIFICATIONS

Socialneed reserves the right, in its sole discretion, to modify these Terms, and any other documents incorporated herein by reference, at any time and without prior notice. Socialneed will notify you of changes by posting on the website, emails, and by notification on the Platform's mobile application(s), sending you a message, or otherwise notifying you when you enter and/or are logged into your account. Modifications will become effective fifteen (15) days after they are posted on the Platform. Your use of the Platform after the expiration of the fifteen (15) days will constitute your consent to the changes and approval. If you do not agree, you may not access or use the Platform.

ADDITIONAL TERMS AND POLICIES

Please review Socialneed's Privacy Policy, incorporated herein by reference, for information and notices regarding Socialneed's collection and use of your information. The provision and delivery of text messages by Socialneed or our text messaging service providers is governed by our Terms and Conditions, which are expressly incorporated herein. Please review Socialneed's full set of key policies that govern your use of the Platform and our interactions with you and third parties. Certain areas and/or products on the Platform may have different terms and conditions posted or may require you to agree to and accept additional terms and conditions or policies. If there is a conflict between these Terms and any terms and conditions or policies posted for a specific area or product, these Terms and Conditions and Additional Policies take precedence with respect to your use of that area or product.

KEY TERMS

"Collective Content" means User Content and Socialneed Content together.

"Content" means text, graphics, images, music, software, audio, video, information or other materials, including, but not limited to, profile information, requests, quotes, message conversations, reviews, scheduling and calendar information, and other information or materials available on or through the Platform.

"Member User" means a Member or User who is registered to receive quotes, request quotes, or use the Platform to receive, pay for, review, or facilitate the receipt of Third Party Services.

"User" means a person who completes the Socialneed account registration process or a person who sends or receives a request through Socialneed.

"Platform" means all Socialneed websites, mobile or other applications, software, processes, and any other services provided by or through Socialneed.

"User Services" means the services listed, quoted, scheduled, offered or provided by Member Users, or requested, scheduled or received by each or all Users, through the Platform.

"Socialneed Content" means all Socialneed content that is made available on or through the Platform, including any Content licensed from a third party, but excluding User Content.

"User Content" means all Content submitted, posted, uploaded, published or transmitted on or through the Platform by any Member or other user of the Platform, including, but not limited to, photographs, profile information, descriptions, posts, reviews and payments made through the Platform, but excluding Socialneed Content and Comments.

ELEGIBILIDAD, REPRESENTACIONES DE LOS USUARIOS DEL SERVICIO, GARANTÍAS Y USO DE LA PLATAFORMA

El acceso y uso de la Plataforma está disponible solo para personas que tienen al menos 18 años de edad y pueden formar contratos legalmente vinculantes bajo la ley aplicable. Al acceder o utilizar la Plataforma, usted declara y garantiza que es elegible y que accedió debido a que cumple con las condiciones del presente acuerdo.

Al registrarse o utilizar la Plataforma para ofrecer, publicar o proporcionar Servicios de Usuario, como Miembros del Servicio declaran y garantizan que ellos, y los empleados, agentes, contratistas y subcontratistas que pueden trabajar para ellos, están debidamente calificados y experimentados, y tienen licencia. , certificados, en condiciones de servidumbre y asegurados, según lo exijan las leyes o reglamentos aplicables a los que puedan estar sujetos en la (s) jurisdicción (es) en la que ofrecen sus como profesionales calificados y en relación con el trabajo específico que están desempeñando. Socialneed no está en el negocio de proporcionar servicios profesionales directamente, Socialneed esta en el negocio de la tecnología y entre sus herramientas de productividad es mediador de conexión entre personas y profesionales. Los Miembros del Servicio entienden y acuerdan que al crear y mantener una cuenta en la Plataforma, solo reciben la capacidad de utilizar la Plataforma Socialneed para acceder a personas (terceros a nuestra organización) interesadas en recibir o solicitar Servicios de Usuario y herramientas relacionadas, incluida, entre otras, la posibilidad de enviar mensajes a Usuarios y programar citas, que faciliten la provisión de Servicios entre los Usuarios vinculados. Los miembros del servicio entienden y acuerdan que el uso de la plataforma no garantiza que ningún usuario de Socialneed los contrate para los servicios profesionales.

Los miembros usuarios del servicio entienden y aceptan que son clientes de Socialneed, y no son empleados de Socialneed, socios conjuntos, socios o agentes. Los miembros del servicio reconocen que establecen o confirman sus propios precios, proporcionan su propio equipo y determinan su propio horario de trabajo. Socialneed no controla, y no tiene derecho a controlar, los servicios que proporciona un miembro del servicio (incluida la forma en que el miembro del servicio proporciona tales servicios) si el miembro del servicio es contratado por un cliente miembro, excepto como se indica específicamente en este documento.

Socialneed, según lo permitan las leyes aplicables, obtiene informes basados en información públicamente disponible con respecto a los Usuarios de que utilizan la Plataforma, que pueden incluir historial de condenas penales o registro de delincuentes sexuales, y podemos limitar, bloquear, suspender, desactivar o cancelar la cuenta de uno o varios Usuario del Servicio con base en los resultados de tal control. REGISTRO DE LA CUENTA Y OTRAS COMUNICACIONES

Los usuarios pueden acceder a la Plataforma sin registrarse para una cuenta. Para acceder y participar en ciertas funciones de la Plataforma, deberá crear una cuenta protegida con contraseña ("Cuenta"). Puede registrarse para una cuenta mediante el registro de datos y creando una contraseña o usando su cuenta de otras redes sociales (de estar disponible la opción) utilizando sus credenciales de inicio de sesión (su "Contraseña de sitio de terceros"). Usted acepta proporcionar información precisa, verídica, actual y completa durante el proceso de registro o solicitud, y en cualquier otro momento cuando use la Plataforma, y para actualizar la información para mantenerla precisa, actualizada, verídica y completa. Usted es el único responsable de proteger su contraseña de Socialneed y, si corresponde, la contraseña de su sitio de terceros. Usted es el único responsable de todas las actividades que ocurran en su Cuenta, y notificará a Socialneed inmediatamente sobre cualquier uso no autorizado. Socialneed no se responsabiliza por ninguna pérdida ocasionada por un uso no autorizado de su cuenta. No obstante lo anterior, puede ser responsable de las pérdidas de Socialneed u otras debido a dicho uso no autorizado.

VERIFICACIÓN

Verificamos a cada uno de los usuarios que ofrecen servicio dentro de nuestra plataforma pero siendo Socialneed una plataforma que conecta persona entre si para realizar servicios profesionales independientes no nos hacemos responsables de la ejecución de los servicios. Cada usuario verificado y activo en nuestra plataforma es responsable de cada servicios realizado, así como del trato y resultado final del mismo. A pesar de que los usuarios son previamente verificados por nuestro equipo de verificadores, son los usuarios los responsables del contenido de sus perfiles.

Verificamos a muchos profesionales comprometidos con sus rubros y especializaciones profesionales pero con el objetivo de aumentar las probabilidades de que los servicios entre usuarios tengan resultados positivos en Socialneed activamos o desactivamos usuarios de acuerdo a nuestros criterios basados en los buenos principios sociales y en el deber ser de la sociedad.

DERECHO DE ADMISIÓN

Nos reservamos el derecho de admisión con el fin de velar y garantizar la mejor experiencia para los usuarios y clientes finales de usuarios que participan en nuestra plataforma y productos SOCIALNEED. Esto cumple protocolos de seguridad pre establecidos con el mismo fin. Como medida de prevención solo verificamos y permitimos esten activos en nuestra plataforma personas nacionales y residentes legales.

Un usuario puede no ser aceptado debido a que no cumpla con las condiciones mínimas establecidas como protocolo de seguridad, protocolo de prevención y/o protocolo de profesionalismo. También el hecho de que un usuario no sea aceptado no necesariamente este relacionado con que no cumpla con los protocolos antes mencionados, existen muchas razones por las que es posible que no se cumpla con lo necesario para estar activo como por ejemplo es posible que el usuarios se encuentre en condiciones o zonas geográficas que no permitan el uso correcto de la plataforma o que su dispositivo no soporte algunos requerimientos tecnológicos necesarios para ser activado. Nos reservamos detalles de los protocolos y técnicas de verificación con el fin de proteger los intereses de los clientes finales y usuarios de la plataforma.

IMPLICACIONES & CONFLICTOS LEGALES ENTRE USUARIOS

Socialneed es una plataforma creada para profesionales responsables, de alto rendimiento comprometidos con los buenos resultados para clientes finales. Realizamos grandes esfuerzos para garantizar la mejor experiencia y apoyar a las partes (usuarios prestadores de servicios y usuarios en posición de solicitantes) más Socialneed siendo una plataforma de uso masivo no es responsable de las implicaciones legales en las que pueda estar relacionadas un usuarios.

Socialneed contribuirá con las autoridades locales en ámbito legal en caso de ser necesario para resolver inconvenientes relacionados a usuarios.

Socialneed no es mediador de conflictos entre usuarios. Si alguna de las partes (usuarios prestadores de servicios y usuarios en posición de solicitantes) no esta satisfecha con el trabajo realizado Socialneed puede apoyar en brindar recursos y opciones que permitan a los usuarios resolver el inconveniente siempre que este relacionado al requerimiento y/o oportunidad de negocio en la que se apoyan mediante la plataforma.

Socialneed puede contribuir con las autoridades locales o ejercer ejercicios legales si detecta que un usuario esta utilizando su plataforma para fines no éticos, no profesionales o que incumpla con nuestras políticas de privacidad y uso.
